Welcome to EquiSmith. These Terms of Service ("Terms") govern your use of theequismith.com (the "Site") and any products or services we offer. By using the Site or placing an order, you agree to these Terms. If you don't agree, please don't use the Site.

1. Who We Are

EquiSmith LLC ("EquiSmith," "we," "us," or "our") is a New York limited liability company operating an online platform that connects equestrian barns with custom-decorated apparel and merchandise. Each participating barn has its own storefront on our Site. We handle production and fulfillment in-house.

2. Eligibility

You must be at least 18 years old to place an order or hold an account with EquiSmith. If you are under 18, a parent or legal guardian must complete the transaction on your behalf. By placing an order, you represent that you meet this requirement.

3. Accounts and Guest Checkout

You may check out as a guest, but we encourage creating an account so you can track orders, save addresses, and reorder easily. You are responsible for keeping your password secure and for all activity under your account. One account per person, please. We reserve the right to suspend or close accounts in cases of suspected fraud, abuse, or violation of these Terms.

4. Orders and Personalization

When you place an order, you are making an offer to purchase. We accept that offer when we ship the item. We reserve the right to decline or cancel any order, including for reasons such as inventory issues, suspected fraud, or content we are unable or unwilling to produce.

Many of our products are personalized with custom text, names, monograms, or barn logos. You are responsible for the accuracy of any personalization details you submit (spelling, sizing, layout choices) and for ensuring you have the right to use any text, names, logos, or images you upload or request. We do not produce items containing trademarked, copyrighted, hateful, defamatory, or unlawful content, and we may decline an order for these reasons without penalty.

5. Order Cancellations

If you need to cancel or change an order, contact us as soon as possible at support@theequismith.com. We'll do our best to accommodate the request, but once an item has entered production we may not be able to cancel or modify it. Personalized items in particular move into production quickly. Reach out fast and we'll work with you on what's possible.

6. Pricing and Payment

Prices are listed in U.S. dollars and may change at any time without notice. The price that applies to your order is the price displayed at the time you place it. Payment is processed through our payment providers, who handle your payment information securely. We do not see or store your full payment card information. If a payment fails, your order will not be processed.

7. Sales Tax and Duties

We collect applicable sales tax based on your shipping destination and our tax obligations in the relevant jurisdiction. If you are ordering from outside the United States, you are responsible for any import duties, customs fees, or taxes assessed by your country upon delivery. These charges are not included in the order total.

8. Shipping

We ship primarily within the United States and accept international orders on a case-by-case basis. Estimated production and delivery times are estimates, not guarantees. Risk of loss and title pass to you when we deliver the package to the carrier. If a package is lost or damaged in transit, contact us and we will help resolve it.

9. Returns and Refunds

We stand behind everything we make. If something isn't right, please reach out — most issues are easy to resolve once we talk. See our full Return Policy for details.

10. Gift Cards and Store Credit

If we issue store credit or a gift card to you (whether as a goodwill gesture, a refund substitute, or as part of a promotion), it is non-transferable, has no cash value, cannot be redeemed for cash, and may be subject to an expiration date that we will communicate at the time of issue. Lost or stolen credits cannot be replaced. We reserve the right to revoke store credit or gift card balances obtained through fraud, abuse, or violation of these Terms.

11. Intellectual Property

All content on the Site that we created — including text, design, logos, photography, and software — is owned by EquiSmith LLC or our licensors and is protected by copyright and trademark law. You may not copy, reproduce, or use our content for commercial purposes without our written permission.

When you upload content (a barn logo, custom artwork, custom text, or photos) for use on a product, you keep ownership of that content. You grant us a non-exclusive license to use it for the limited purpose of producing and shipping your order, and to display the resulting product on the relevant barn's storefront where applicable. You represent that you own or have permission to use any content you upload.

12. Copyright Infringement Claims (DMCA)

We respect intellectual property rights and expect our users to do the same. If you believe content displayed on the Site or appearing on a product offered through the Site infringes your copyright, please send a written notice to support@theequismith.com with the following information:

• A description of the copyrighted work you believe has been infringed.
• The specific URL or location where the alleged infringing material appears.
• Your contact information (name, address, email, phone).
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
• Your physical or electronic signature.

We will review valid notices and take appropriate action, which may include removing the infringing material and, in appropriate cases, terminating the account responsible.

13. Acceptable Use

You agree not to use the Site to engage in fraud, scrape or harvest data, interfere with normal operation of the Site, impersonate another person or barn, or upload content that is unlawful, infringing, or abusive. We may take any action we consider appropriate in response, including suspending accounts and refusing service.

14. Account Suspension and Termination

We may suspend, restrict, or terminate your account at our discretion, including for violations of these Terms, suspected fraud, abuse, or non-payment. If your account is terminated:

• Orders that have already been shipped will be honored as normal.
• Orders in production will generally be completed and shipped, unless the termination relates to fraud or unlawful conduct, in which case we may cancel them.
• Refunds for unfulfilled orders, where appropriate, will be issued to the original payment method.
• Any remaining store credit or gift card balance may be forfeited if the termination relates to fraud or violation of these Terms.

You may close your own account at any time by emailing support@theequismith.com. Closing your account does not entitle you to a refund of completed orders.

15. Third-Party Services

We rely on third-party service providers to operate the Site, including payment processors, email service providers, hosting and cloud storage providers, and analytics providers. These providers have their own terms and privacy practices. Our use of them is described in our Privacy Policy.

16. Email Communications

When you place an order or create an account, we will send transactional emails related to your order, account, or support requests. You cannot opt out of these — they are part of providing the service. If you sign up for our newsletter or other marketing emails, you can unsubscribe at any time using the link in any marketing email.

17. Disclaimers

The Site and our products are provided "as is." We do our best to describe products accurately, but minor variations in color, fabric, and finish are normal for custom decorated apparel. Screen colors may differ slightly from actual product colors. We do not warrant that the Site will be uninterrupted or error-free.

18. Limitation of Liability

To the fullest extent allowed by law, EquiSmith LLC is not liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or our products. Our total liability for any claim related to an order will not exceed the amount you paid for that order.

19. Indemnification

You agree to indemnify and hold harmless EquiSmith LLC, its members, employees, and partners from any claims, damages, or expenses arising out of content you upload, your violation of these Terms, or your misuse of the Site.

20. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version. For material changes, we will provide notice through the Site or by email. Your continued use of the Site after a change takes effect means you accept the updated Terms.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. If you have a concern, please contact us first — most issues are resolved by a quick conversation. If a formal dispute does arise, it will be brought before the state or federal courts located in New York.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy and Return Policy, constitute the entire agreement between you and EquiSmith LLC regarding your use of the Site and supersede any prior agreements, communications, or understandings, whether verbal or written. No statement, promise, or representation made outside of these documents is binding unless we put it in writing and clearly designate it as part of our agreement with you.
